TOPPOST TERMS OF SERVICE

AGREEMENT TO TERMS

By accessing or using TopPost.ai, you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access the service.

WHO WE ARE

TopPost.ai (ABN / ACN 80 285 355 360), referred to as "TopPost", "we", "our", or "us", operates under the business name Rory Chockman. For questions about these terms, please contact us at privacy@toppost.ai.

SERVICE DESCRIPTION

TopPost provides a platform that lets you research, draft, schedule, and publish social media content across multiple platforms. Please note that beta features may change without notice as we continue to improve our service.

ELIGIBILITY

You must be at least 18 years old to use TopPost. You must also have the proper authority to post content to any social media accounts you connect to our service.

YOUR CONTENT LICENSE

By using TopPost, you grant us a worldwide, revocable, royalty-free license to store, process, and transmit your content solely for the purpose of providing our service to you. This license terminates when you disconnect accounts or delete your data.

You retain all ownership rights to your content. We do not claim any ownership over the content you create, store, or publish through TopPost.

PAID PLANS AND BILLING

Subscription fees are billed monthly through Stripe. You may cancel your subscription at any time, but we do not provide refunds for partial billing periods.

You are responsible for:

  • Providing accurate billing information

  • Maintaining valid payment methods

  • Paying all applicable taxes

We reserve the right to:

  • Change our pricing with 30 days notice

  • Suspend service for non-payment

  • Modify subscription tiers and features

PROHIBITED USES

You may not use TopPost for:

  • Illegal content or activities

  • Harassment, hate speech, or targeted abuse

  • Reverse-engineering our platform

  • Scraping data or attempting unauthorized access

  • Exceeding the posting limits set by social media platforms

  • Violating the terms of service of connected social media platforms

  • Spamming or automated abuse

  • Impersonating others or providing false information

Violation of these terms may result in immediate account suspension or termination.

SERVICE AVAILABILITY

TopPost is currently offered as a beta service on an "as-is" basis. While we target 99% monthly availability, we do not currently offer a formal Service Level Agreement (SLA).

We reserve the right to:

  • Modify or discontinue features with or without notice

  • Perform scheduled maintenance with advance notice when possible

  • Make emergency changes to ensure security and stability

TERMINATION

We reserve the right to suspend or close accounts that breach these terms. We will provide notice when possible, except in cases of serious violations or legal requirements.

You may close your account at any time through:

Upon termination:

  • Your access to the service will be revoked immediately

  • Your data will be deleted according to our Privacy Policy

  • Subscription fees for the current billing period are non-refundable

LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR LIABILITY IS LIMITED TO THE TOTAL FEES YOU HAVE PAID TO US IN THE PREVIOUS 12 MONTHS.

WE ARE NOT LIABLE FOR:

  • Indirect, incidental, or consequential damages

  • Loss of profits, data, or business opportunities

  • Service interruptions or data loss

  • Third-party platform changes or API limitations

  • Content published to social media platforms

INDEMNIFICATION

You agree to indemnify and hold us harmless against any claims, damages, or expenses arising from:

  • Your content or actions on the platform

  • Your violation of these terms

  • Your violation of third-party rights

  • Your use of connected social media platforms

THIRD-PARTY SERVICES

TopPost integrates with third-party social media platforms (TikTok, Facebook, Instagram, LinkedIn, YouTube, Pinterest, etc.). Your use of these platforms through TopPost is subject to their respective terms of service and privacy policies.

We are not responsible for:

  • Changes to third-party APIs or services

  • Third-party platform outages or limitations

  • Content moderation decisions by third-party platforms

  • Third-party data practices

INTELLECTUAL PROPERTY

The TopPost platform, including its software, design, and branding, is owned by TopPost.ai and protected by copyright, trademark, and other intellectual property laws.

You may not:

  • Copy, modify, or create derivative works

  • Reverse engineer or decompile our software

  • Remove or alter proprietary notices

  • Use our trademarks without permission

PRIVACY

Your privacy is important to us. Please review our Privacy Policy at https://toppost.ai/privacy-policy to understand how we collect, use, and protect your data.

GOVERNING LAW AND DISPUTES

These terms are governed by the laws of New South Wales, Australia. Any disputes will be resolved under the jurisdiction of NSW courts.

Before filing any legal action, you agree to attempt to resolve disputes through good faith negotiation for at least 30 days.

SEVERABILITY

If any provision of these terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

ENTIRE AGREEMENT

These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and TopPost regarding the use of our service.

CHANGES TO TERMS

We will notify you at least 7 days in advance of any changes to these terms via:

  • Email to your registered email address

  • Notice posted on the TopPost platform

Your continued use of the service after changes take effect constitutes acceptance of the new terms. If you do not agree to the new terms, you must stop using the service and may close your account.
